1. Name of the Fund –
Community Development and Environment Fund.

2.
Objectives –
to develop the quality of life by giving support to projects related to the promotion of education, occupations, incomes, health, good culture and tradition, preservation of natural resources and environmental improvement. This is the Company's commitment to return profits to the community as shown in the Social Contract.

3.
Location of the office of the Fund –
Office of TAO in Tambon Hau Krai

4.
Properties of the Fund –
Donation money from A.T. Biopower Company Limited at one million baht during the construction phase and one million baht per year during the operation phase as from the date of operation.

| 5.
Provisions pertaining to the Fund Management Committee |
| |
5.1 There shall be a fund management committee of 21 members comprising 9 representative from each village, 4 qualified persons 4 representatives from the Company and 4 TAO officials as ex officio members.
5.2 Term of office of members is 3 years.
5.3 When the Fund Management Committee has completed its term, during the selection of new committee members is being in process it shall remain in office to perform duties for that time being. In this regard, the selection of committee members under Article 5.1 shall be undertaken within 30 days from the expiration date of term.
5.4 Member can vacate from the office prior to the expiration of term on account of death, inability to perform duties due to health reasons, retirement and being dismissed by two-thirds of the total number of the members.
5.5 The Fund Management Committee shall carry out public relations so that the people in the tambon can recognize the Fund including giving a framework and guidelines for project preparation to receive financial support.
5.6 There shall be a general meeting twice a year.
5.7 If there is a reasonable ground relating to the management of the Fund, the President of the Fund shall have the power to call an extraordinary meeting,
5.8 Invitation for attending a meeting shall be undertaken whenever a project is proposed including the preparation of a supervision plan, the giving of recommendations to project implementation to ensure its survival and accomplishment in addition to its compliance to the Regulations of the Prime Minister Office on Procurement for Project Operation.
5.9 In consideration for giving approval to a project, various aspects of suitability shall be carefully and promptly considered including the feasibility in its implementation. |

| 6.
Provisions relating to fund management |
| |
6.1 In disbursing money from the Fund, the President shall jointly sign his name with the Treasurer.
6.2 Office expenses, meeting allowances ect. shall be paid from the Fund.
6.3 Meeting allowances shall be paid at a daily rate of 300.00 baht (three hundred baht only).
6.4 Budgets for supporting each project should not exceed 100,000.00 baht (one hundred thousand baht only). If possible, contributions or participation from local people shall be encouraged (in the form of money, labor, land etc. as appropriate). Projects that gain much public participation shall have more priority for consideration.
6.5 All items of expenses shall have receipts to be given to the Fund Management Committee.
6.6 Financial documents shall be filed properly and accounting shall be undertaken in accordance with standard practices to ensure their availability for inspection.
6.7 When the social contract expires, the properties of the Fund shall be vested in the community.
